General terms and conditions for private events:

1. Scope 1. The general terms and conditions apply to all contractual relationships between the restaurant and the customer (=organizer) for the use of conference, banquet and exhibition rooms and areas of the Leibniz 56 club restaurant, along with catering and all other related services. They apply equally to the garden area. 2. These general terms and conditions apply exclusively to the contract. Other conditions do not become part of the contract, even if the restaurant does not expressly object to them.

1. Conclusion and content of the contract

1. Offers from the restaurant are non-binding. A binding contract is concluded with written confirmation of the order.

2. If the customer is acting on behalf of a third party, the customer must notify us of this in writing, stating the name/company, address and an authorized representative of the third party.

3. To the extent that the conclusion of the contract establishes a rental agreement in whole or in part, subletting is excluded without the written consent of the restaurant.

4. Employees of the restaurant are not authorized to make oral contractual agreements, changes to these terms and conditions or other oral agreements. Additional or deviating agreements require written confirmation by the restaurant.

5. If the period between the conclusion of the contract and the event exceeds 3 months, the restaurant reserves the right to make price changes due to increases in purchase prices, labor costs or VAT. Any price change is limited to the actual increase in the factors mentioned. If the price increases by more than 20%, the customer can withdraw from the contract without further costs.

6. The organizer, his employees, vicarious agents and event participants are not allowed to bring food and drinks to events. Any other arrangements must be made with the restaurant.

III. Prices and Payment

1. The restaurant is entitled to demand an appropriate advance payment at any time. A deposit may be due to secure the event. This is between €500 and €1500 depending on the event and is determined when the scope of your event is fixed. The full amount must be received by the restaurant owner on time for the contract to be valid. The invoice amount remaining after the deposit is due at the end of the event, in cash or by debit/credit card, or no later than 5 days after receipt of the invoice without deduction and will be subject to interest at 12% from the third day thereafter. Unless the amount of the advance payment and the payment dates are agreed otherwise in writing in the contract, the following advance payments are agreed:


For events of 10,000€ or more, the advance payment is:

50% upon conclusion of the contract as a guarantee, plus the remainder upon presentation of the invoice immediately net without deduction

2.The number of participants stated in the order is binding and will be used as the basis for the price calculation unless the stated number of participants is exceeded. The customer must notify us of any deviations from the number of participants at least 5 working days before the date of the event in order to enable the necessary preparations to be made.
3. The agreed prices include the sales tax applicable on the day of the event.

4. The restaurant reserves the right to charge for extensive construction and reconstruction work.

5. The event agreement includes basic cleaning of the event rooms and disposal of the usual waste from the event. Confetti, promotional items are not permitted, fireworks and helium balloons only after consultation with the city and airport. The disposal of exceptional waste, depending on its type or quantity, will be invoiced separately by the company. The same applies to exceptional soiling of the event room, toilets or outside areas.

change in the number of participants

1. If the number of participants specified in the order is not reached by written notification, the price for the different number of participants will be reduced by 100% of the food and beverage sales as follows up to the 4th day before the agreed event date. If the deviation is not notified or is notified after the 4th day, 100% of the number of participants specified in the order will be charged. 2. If the number of participants specified in the order is exceeded, the actual number of participants will be used as the basis for billing.

3. In the event of a deviation in the number of participants, the restaurant reserves the right to allocate other reasonable premises to the customer.

cancellation

1. Cancellations must be made in writing only.
2. In case of cancellation of the contract, the restaurant has the right to

to demand appropriate compensation, depending on the time at which the contract was cancelled. The amount of compensation is as follows, unless the customer proves that no damage has occurred

3. If the food and beverage sales, for example in the a la carte area, are not specified in the order confirmation, we will use a food sales figure of €25.00 and a beverage sales figure of €14.00 per participant as the basis for the calculation in the event of cancellation.

4. Special agreements must be made in writing. The restaurant's right to demand further compensation in accordance with the statutory provisions remains unaffected.

1.Decorative material, music, communication technology

1. The installation of decorative material, other objects, music and communication technology may only take place in consultation with the restaurant. The customer guarantees that the decorative and work materials brought in comply with fire safety requirements. In cases of doubt, sufficient fire safety proof can be requested.

2. Any exhibition and other items brought along must be removed immediately after the end of the event. If the customer fails to comply with this obligation, the restaurant may remove and store them at the customer's expense. For items left in the event room, the restaurant may charge room rental for the duration of the stay or dispose of them as required at the customer's expense. The above provisions also apply to items that have been rented from third-party companies and brought into the rooms.

3. Music is permitted indoors. The volume of music must comply with the requirements of the state capital of Hanover. A sound system is available in our hall. Additional assembly and dismantling of lighting and
Sound technology must be agreed no later than two days before the start of the event. All technology, lighting, sound and stage elements must be dismantled and removed immediately after the event. The restaurant accepts no liability for damage or theft. The setting off of fireworks and any open fire are strictly prohibited. The organizer must settle the costs for music directly with the musicians. Furthermore, the organizer must register the event directly with GEMA and the costs incurred must be paid by the organizer directly to GEMA.

VII. Liability

1. The organizer is liable for losses or damages caused by its employees, other assistants, vicarious agents and event participants, as well as for losses or damages caused by the organizer himself. It is the organizer's responsibility to take out appropriate insurance for this. The restaurant can request proof of such insurance.

2. The restaurant is not liable for the organizer’s cloakroom and other items.

3. Except in the case of culpable injury to the life, body or health of the tenant, the restaurant is only liable for grossly negligent or intentional breaches of duty. 4. The limitation of liability also applies to the restaurant's liability for employees, vicarious agents and legal representatives employed by it. 5. In the case of simply negligent service disruptions, pre-contractual or ancillary contractual breaches of duty caused by simple negligence, the restaurant's liability is excluded unless essential duties have been violated, compliance with which is required for the purpose of the contract, or which arise from a justified reliance on special trust. In this case, the restaurant's liability is limited to compensation for foreseeable damage.

6. Items brought in by the organizer are stored in the allocated rooms exclusively at the risk of the organizer.

VIII. Final Provisions

1. The restaurant is entitled to withdraw from the contract for objectively justified reasons, in particular if.

- Force majeure, strikes (including by suppliers) or other events beyond the control of the company.
circumstances that make the performance of the contract impossible

- events or rooms are advertised negligently under misleading or false information or
concealment of essential facts;

The identity of the customer, the ability to pay or the purpose of the event can be essential

- the company has reasonable grounds to believe that the event may endanger the smooth running of the business, the safety or the public reputation of the company.

- the purpose or occasion of the event is illegal.

2. The restaurant's withdrawal does not give the customer any right to compensation. 3. The restaurant is entitled to change the service owed or to make equivalent room changes, taking the interests of the customer into account. 4. Should individual provisions of these general terms and conditions be or become invalid, the validity of the remaining provisions shall not be affected. Deviating agreements or collateral agreements must be made in writing.

5. German law applies to the contractual relationship. The UN Convention on Contracts for the International Sale of Goods does not apply. The place of jurisdiction and place of performance for both parties is Hanover, Langenhagen. 6. By signing the catering contract or the written confirmation in accordance with the event agreement, the organizer accepts our general terms and conditions. These are the basis for organizing your event.
